These Terms of Use apply to the websites listed below and to the features on those websites, including directories, event and center information, contact and newsletter forms, and tenant tools such as insurance uploads, parking and vehicle submissions, and marketing uploads (together, the "Sites").
The company that operates the Site you are using is the "Operator" for that Site:
• oldtownsanclemente.com, the site for Old Town San Clemente at 111 W. Avenida Palizada, San
Clemente, California 92672, is operated by University of San Clemente Inc. ("USC").
• flipsidepoint.com, the site for Flipside Point at 19171 Magnolia, Huntington Beach, California 92646, is operated by University of San Clemente Inc.
• efh-inc.com, the EH Inc. tenant portal, is operated by EH Inc.
• mghprop.com, the MGH Properties Inc. tenant portal, is operated by MGH Properties Inc.
"We," "us," and "our" mean the Operator of the Site you are using. Related ownership and management entities may include EFH-S Investments LP and EFH-H Investments LP. A reference to the Operator includes those related entities only where they own or manage the property your lease covers, or where your insurance certificate is required to name them.
If you use a Site on behalf of a business, you represent that you have authority to bind that business, and "you" includes that business.
By using a Site, you agree to these Terms and to the Privacy Policy posted on that Site. If you do not agree, do not use the Site.
These Terms govern use of the Sites. They do not replace a lease, license, permit, event agreement, or other written contract with us. If a lease or other signed contract conflicts with these Terms on rent, insurance, parking, use of the premises, default, or termination, the signed contract controls.
The center Sites describe Old Town San Clemente and Flipside Point, their tenants, hours, events, and neighborhood information. The tenant portals are tools for current tenants to pay rent through a third-party processor, submit vehicle and parking information, upload insurance certificates, and send marketing materials.
Tenant names, menus, hours, and offers are provided for convenience. A listing is not an endorsement, a guarantee of quality, or a promise that a tenant is open. Tenant businesses are independent. Their products, services, and their own websites are not provided by us. Confirm hours and offers with the tenant.
Nothing on the Sites is legal, insurance, tax, or financial advice. Training links, articles, and event descriptions are general information.
The Sites are intended for people 18 or older, and for businesses. We do not knowingly let children create accounts or submit forms. A parent or guardian who brings a minor to a center is responsible for that minor
Some features require you to be a current tenant or an authorized representative. You must give accurate information and keep it current, including legal name, unit or suite, contact details, vehicle information, and insurance status.
You are responsible for activity under your login, including a login we or our payment vendor issue to you. Do not share credentials. Tell us promptly at the contact email below if you believe an account is being misused.
We may refuse, remove, or suspend a submission or portal access if information is false, incomplete, or used in a way these Terms do not allow. Portal access is a convenience. It is not a modification of your lease.
Online rent payment is processed by Rentec Direct, or by another payment processor we name on the portal.
You leave our Site when you enter the processor's payment pages. The processor's terms and privacy policy apply to the payment account, card, and bank details you enter there.
We do not store your full card number or bank login on our Sites. A payment is not credited until the processor accepts it. Amounts, due dates, late fees, and application of payments are set by your lease and by our records, not by these Terms. If a portal total looks wrong, contact us before you pay and keep your receipt.
If your lease requires insurance, you must upload a current certificate that names the additional insureds exactly as the portal instructs. As of the effective date, those names include EH Inc., EFH-S Investments LP, MGH Properties Inc., and EFH-H Investments LP, as applicable to your property. Exact spelling is required. An upload is not our approval of coverage. We may reject a certificate that does not meet the lease.
Vehicle and parking submissions must describe vehicles actually used by you or your employees at the property.
We use that information to administer parking and center rules. A submission does not reserve a space unless we confirm it in writing.
If you upload logos, photos, menus, flyers, or other marketing materials, you represent that you own them or have the rights to give them to us. You grant the Operator a non-exclusive, royalty-free license to use, reproduce, crop, and display those materials to promote your business and the center, on the Sites, in center signage, email, and social channels, for as long as you are a tenant and for a reasonable wind-down after. You may ask us to stop a specific use going forward. That request does not require us to recall materials already distributed.
You will not:
• Break the law, a lease, or another person's rights, including privacy and intellectual property rights.
• Upload malware, probe or scrape the Sites, overload them, or bypass access controls.
• Use another person's account, or impersonate a tenant, employee, or the Operator.
• Post or send unlawful, deceptive, infringing, or harassing content.
• Harvest personal information from the Sites, or use tenant directory information to send spam.
• Misrepresent a payment, an insurance certificate, or a parking submission.
We may remove content and suspend access if we reasonably believe these rules were broken.
The Sites, including text, design, logos, photos, theme artwork, and compilation of tenant information, are owned by the Operator or its licensors. Old Town San Clemente, Flipside Point, and related marks are used by University of San Clemente Inc. You may share ordinary links to the Sites. You may not copy the Sites for a competing directory, or use our marks without written permission.
Tenant marks remain the tenant's. A listing does not transfer those marks to us, except for the promotional license in Section 7.
If you believe material on a Site infringes your copyright, email [email protected] with: your signature, the work claimed to be infringed, the URL of the material, your contact information, a statement that you have a good-faith belief the use is not authorized, and a statement under penalty of perjury that the notice is accurate and that you are the owner or authorized to act. We may remove the material and, if applicable, notify the person who posted it.
If you opt in to email or text updates, you agree to receive messages about the center, events, and tenant news.
Email will include an unsubscribe link. Text messages will include a way to stop them, including by replying STOP.
Message and data rates may apply. Consent to messages is not required to visit a center or to pay rent.
Centers are active places. We and our vendors may photograph or record public areas and events for center marketing. If you do not want a recognizable image of you used, tell the photographer at the time or email us and we will make a reasonable effort not to use it going forward.
Event listings can change. A listing is not a ticket unless we say you have a confirmed reservation.
The Sites link to tenant businesses, maps, social networks, and payment pages we do not control. Those sites have their own terms and privacy practices. We are not responsible for them.
THE SITES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY CALIFORNIA LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
CENTER INFORMATION, INCLUDING HOURS AND TENANT OFFERS, MAY BE OUT OF DATE.
TO THE FULLEST EXTENT ALLOWED BY CALIFORNIA LAW, THE OPERATOR AND ITS OWNERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SITES, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR A CLAIM ARISING OUT OF THE SITES WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US FOR THE SITE FEATURE AT ISSUE IN THE THREE MONTHS BEFORE THE CLAIM. THIS CAP DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER CALIFORNIA LAW, INCLUDING FOR FRAUD OR WILLFUL INJURY, AND IT DOES NOT LIMIT EITHER PARTY'S OBLIGATIONS UNDER A LEASE.
You will defend and indemnify the Operator and its related entities against third-party claims, damages, and reasonable attorneys' fees arising out of your content, your misuse of the Sites, or your violation of these Terms or a lease, except to the extent caused by our own gross negligence or willful misconduct.
We may update these Terms by posting a new version on the Site and changing the "last updated" date. If a change is material, we will also post a notice on the Site or email tenant accounts where we have an address.
Continued use after the effective date means you accept the update. We may suspend a Site or a feature for maintenance, security, or misuse.
California law governs these Terms, without regard to conflict-of-law rules. Subject to a lease's dispute clause, courts located in Orange County, California, are the exclusive venue for disputes arising out of the Sites, and you consent to personal jurisdiction there. We are not requiring arbitration in these website Terms. A lease may still require a different process for lease disputes.
You may have rights under the California Consumer Privacy Act that cannot be waived here. Those rights are described in the Privacy Policy.
If a provision of these Terms is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms. We may assign them to a successor operator of a center or portal.
These Terms, the Privacy Policy, and any signed lease or other written contract are the entire agreement about the Sites.

This Privacy Policy describes how the Operator of the Site you are using collects, uses, and shares personal information. The Operator is University of San Clemente Inc. for oldtownsanclemente.com and flipsidepoint.com, EFH Inc. for efh-inc.com, and MGH Properties Inc. for mghprop.com. "We" means that Operator.
This policy applies to the Sites, to forms and portal tools on them, and to related email and text programs. It does not apply to tenant businesses, to payment pages hosted by Rentec Direct, or to other third-party sites we link to.
We do not sell personal information for money. We do not share personal information for cross-context behavioral advertising. If that changes, we will update this policy and provide a "Do Not Sell or Share My Personal Information" link before we do.
Information you give us
• Identity and contact details: name, email, phone, business name, and mailing address, when you write to us, join a list, or submit a form.
• Tenant portal details: suite or unit, authorized contacts, and messages you send through the portal.
• Insurance materials: certificates of insurance, policy numbers, coverage dates, and additional-insured endorsements you upload.
• Vehicle and parking details: plate number, make, model, color, and the driver or employee associated with a vehicle used at the property.
• Marketing materials: logos, photos, menus, and captions you upload for center promotion.
• Payment status: we may receive a confirmation, amount, and date from the payment processor. We do not receive your full card number or bank login from the Sites.
Information collected automatically
• Device and log data: IP address, browser type, pages viewed, referring URL, and approximate time of visit.
• Cookie and similar data used to run the Site, remember preferences, and understand aggregate traffic.
Information from others
• A tenant may give us employee or vendor contact details needed for parking, insurance, or center operations.
• The payment processor may confirm whether a rent payment succeeded.
We use personal information to:
• Operate, secure, and improve the Sites.
• Answer questions and send administrative messages.
• Administer leases in practice: rent-payment status, insurance compliance, parking, and tenant communication. The lease, not this policy, sets those obligations.
• Promote the centers and participating tenants, including with materials a tenant uploaded.
• Send email or text updates you opted in to, and honor opt-outs.
• Detect fraud, abuse, and security incidents, and comply with law.
• Create aggregated statistics that do not identify you.
We do not use automated decision-making that produces legal or similarly significant effects about you.
We share personal information only as follows:
• Service providers who host the Sites, send email, store form uploads, or support center operations, including website and marketing tools such as GoHighLevel (HighLevel LLC) where a Site uses that platform. They may use the information only to provide services to us.
• Rentec Direct, when you choose to pay rent on its pages. Its privacy policy governs payment data you enter there.
• Related entities that own or manage the property, including EFH-S Investments LP and EFH-H
Investments LP where your lease or insurance requirements involve them.
• Authorities, advisors, or other parties when we believe disclosure is required by law, legal process, or to protect people, property, or the Sites.
• A buyer or successor if we sell or transfer a center, a portal, or the related business, in which case this policy will still describe the handling of information unless you are told otherwise.
We do not rent or sell personal information. Public event photos may include people who were present, as described in the Terms.
We use cookies and similar technologies that are needed to run the Sites, and optional cookies that help us understand traffic. Most browsers let you block cookies. Blocking required cookies may break forms or the tenant portal. We do not use cookies to sell personal information.
Current categories:
• Required: security, load balancing, and remembering a form or portal session.
• Analytics: aggregate page counts and referral sources. If we add a non-essential analytics or advertising cookie, we will say so here and, where required, ask before it runs.
We keep information for as long as needed for the purpose we collected it, then delete or de-identify it. Lease, payment, insurance, and parking records are kept for the tenancy and for the period we need them for accounting, insurance, and legal claims, typically at least four years after the tenancy ends, and longer if a dispute is open. Marketing uploads are removed from active promotion when you ask or when the tenancy ends, subject to ordinary backups and materials already published.
We use reasonable administrative, technical, and physical safeguards, including access limits and encrypted connections on the Sites. No website or email transmission is completely secure. Payment card data belongs on the processor's pages, not in email to us. If we are required to notify you of a breach, we will do so as California law requires.

You may request that we:

Limit use of sensitive personal information to what is necessary to provide the services you requested.
Vehicle identifiers and insurance documents can be sensitive. We use them to administer parking and insurance requirements, not to infer characteristics about you.
We will not discriminate against you for exercising these rights. A lease obligation, such as providing insurance or a vehicle list, is independent of a privacy request.
Submit a request by emailing [email protected] with the subject line "Privacy request," or by mail to the address in the Contact section. We will verify your request by matching information you provide to information we hold, and we may ask for more detail if needed. You may use an authorized agent with signed permission. We will respond within 45 days, or tell you if we need up to 45 more days.
If we deny a request, you may appeal by replying to our decision email with the subject line "Privacy appeal." We will respond with the outcome and a reason. You may also contact the California Privacy Protection Agency or the California Attorney General.
The Sites are not directed to children under 13, and we do not knowingly collect personal information from them. If you believe a child submitted personal information, email us and we will delete it.
Marketing email complies with the CAN-SPAM Act: we identify the sender, include our mailing address, and honor unsubscribe requests promptly. Text programs comply with the Telephone Consumer Protection Act: we send marketing texts only with consent, and we honor STOP. Consent records are kept with the list.
Tenant websites, map services, social networks, and Rentec Direct are separate controllers of information you give them. Read their policies before you submit payment or account details.
Where GoHighLevel processes form or contact data for us, it acts as our service provider, not as the owner of that information.
We will post changes on this page and update the date above. If a change materially reduces your rights, we will post a notice on the Site or email tenant contacts before it takes effect.
